To become a Company Secretary in India you qualify through the Institute of Company Secretaries of India (ICSI). The route has three examination stages — CSEET, the Executive Programme and the Professional Programme — followed by 21 months of practical training, after which you can apply for ACS membership and use the CS designation.

Realistically it takes three to five years from Class 12, and roughly ₹54,500 in ICSI fees if you clear each stage on the first attempt. This guide sets out each stage, who can skip CSEET entirely, the official fee schedule, and one 2026 change that catches candidates out.

What a Company Secretary actually does

A Company Secretary is a company's compliance and governance officer. The role covers statutory filings under the Companies Act, convening and minuting board and shareholder meetings, maintaining statutory registers, advising directors on their legal duties, and acting as the link between the board, shareholders and regulators such as the MCA and SEBI.

Indian companies above a prescribed threshold must appoint one, which is what underpins demand for the qualification. It is a legal-and-governance career rather than a numbers career — the closest comparison is an in-house corporate lawyer who carries statutory responsibilities of their own.

Step 1 — Clear CSEET (or skip it)

CSEET is the entrance test, open to anyone who has passed or is appearing for Class 12. It has four parts: Business Communication; Legal Aptitude, Logical Reasoning and General Awareness; Economic and Business Environment; and Current Affairs.

Many candidates do not need to sit it at all. Graduates and post-graduates, CA Intermediate passed students, and ICMAI Final passed students can take direct admission into the Executive Programme by paying a CSEET exemption fee instead.

  • Eligibility: passed or appearing for Class 12 from a recognised board.
  • Exempt: graduates, post-graduates, ICAI Intermediate passed, ICMAI Final passed — direct entry to Executive.
  • Important 2026 change: CSEET moved from remote-proctored home mode to offline, centre-based pen-and-paper exams. You now travel to a designated centre, and centre changes within a city are not permitted once enrolled.

Step 2 — CS Executive Programme (7 papers)

The Executive Programme is where the professional syllabus begins: company law, securities laws, tax laws, economic and commercial laws, corporate accounting, and financial and strategic management. Under the ICSI 2022 syllabus it is seven papers across two groups — four in Group 1 and three in Group 2.

Most papers are around 20% case-based objective questions and 80% descriptive. Passing requires 40% in each paper and 50% in the group aggregate. Executive exams are held twice a year, in June and December.

Step 3 — CS Professional Programme (7 papers)

The Professional Programme is the final examination stage — seven papers across two groups under the 2022 syllabus, including two elective papers you choose. The material moves to advanced practice: corporate restructuring and insolvency, secretarial audit, compliance management, governance and sustainability, and drafting.

The older 2017 syllabus had three modules; the 2022 syllabus reorganised this into two groups, so disregard any guide still describing three modules.

Step 4 — 21 months of practical training

Examinations alone do not make you a Company Secretary. ICSI requires 21 months of practical training, undertaken after the Executive Programme, typically with a practising Company Secretary or in a company's secretarial department.

You also complete short mandatory programmes along the way, including the Student Induction Programme and a three-day Orientation Programme. Training runs alongside Professional Programme study for most candidates, which is why the overall timeline lands at three to five years rather than the sum of the exam stages.

Step 5 — ACS membership

Once you have passed the Professional Programme and completed training, you apply for Associate Company Secretary (ACS) membership of ICSI. That membership — not the exam pass on its own — is what entitles you to practise and to use the CS designation.

The figures below come from ICSI's published fee schedule effective 15 April 2026. Treat fee numbers found elsewhere with care — several widely-shared guides still quote a CSEET registration fee of ₹1,000, which is well out of date.

  • Cleared first time via CSEET, ICSI fees come to roughly ₹54,500: about ₹9,000 at CSEET, ₹21,900 at Executive including both group exam fees, and ₹23,600 at Professional.
  • ICSI grants substantial CSEET registration concessions — 100% for students from Jammu & Kashmir and Ladakh, 50% for SC/ST candidates, physically handicapped candidates, and students from the North Eastern states, Andaman & Nicobar, Lakshadweep and Himachal Pradesh, and 75% for ICSI staff and their wards or spouse.
  • Coaching is optional and is not included above. Where students take it, it usually costs more than ICSI's own fees.

How long does it take?

From Class 12, three to five years is the honest range. CSEET preparation takes a few months, the Executive Programme around eight to nine months of study, and the Professional Programme longer still — but the binding constraints are the 21 months of practical training and the fact that Executive and Professional exams are held only twice a year.

Miss a group and you wait six months, not six weeks. That single fact stretches CS timelines more than syllabus difficulty does, and it is the strongest argument for not attempting a group underprepared.

Is CS the right choice for you?

Choose CS if corporate law, governance and compliance genuinely interest you. The work is statutory and detail-driven, and the qualification is narrower than CA — a strength if the domain suits you, a limitation if it does not.
